{"id":9974,"date":"2023-03-30T10:32:11","date_gmt":"2023-03-30T08:32:11","guid":{"rendered":"http:\/\/ab.peritus-ra.com\/?p=9974"},"modified":"2023-10-30T11:39:56","modified_gmt":"2023-10-30T10:39:56","slug":"the-liability-of-a-gmbh-limited-liability-company-managing-director-for-unpaid-minimum-wage","status":"publish","type":"post","link":"https:\/\/www.peritus-ra.de\/en\/2023\/03\/the-liability-of-a-gmbh-limited-liability-company-managing-director-for-unpaid-minimum-wage\/","title":{"rendered":"The liability of a GmbH (limited liability company) managing director for unpaid minimum wage"},"content":{"rendered":"<section class=\"l-section wpb_row height_large\"><div class=\"l-section-h i-cf\"><div class=\"g-cols vc_row via_flex valign_top type_default stacking_default\"><div class=\"vc_col-sm-12 wpb_column vc_column_container\"><div class=\"vc_column-inner\"><div class=\"wpb_wrapper\"><div class=\"wpb_text_column\"><div class=\"wpb_wrapper\"><p>The Fede\u00adral Labor Court (BAG) dealt with the ques\u00adti\u00adon of whe\u00adther the mana\u00adging direc\u00adtor of a GmbH is per\u00adso\u00adnal\u00adly lia\u00adble for dama\u00adges to the plain\u00adti\u00adff employee due to unpaid com\u00adpen\u00adsa\u00adti\u00adon in the amount of the sta\u00adtu\u00adto\u00adry mini\u00admum wage.<\/p>\n<p><strong>Decis\u00adi\u00adon of the BAG: No Lia\u00adbi\u00adli\u00adty<\/strong><\/p>\n<p>The Fede\u00adral Labor Court (BAG) denied per\u00adso\u00adnal lia\u00adbi\u00adli\u00adty of the mana\u00adging direc\u00adtor for the fail\u00adure to pay the mini\u00admum wage becau\u00adse the regu\u00adla\u00adto\u00adry offen\u00adse under the Mini\u00admum Wage Act (MiLoG) does not con\u00adsti\u00adtu\u00adte a pro\u00adtec\u00adti\u00adve law for employees in rela\u00adti\u00adon to the com\u00adpany\u2019s direc\u00adtors under Sec\u00adtion 823(2) of the Ger\u00adman Civil Code (BGB).<\/p>\n<p>The GmbH (limi\u00adt\u00aded lia\u00adbi\u00adli\u00adty com\u00adpa\u00adny) is lia\u00adble as an employ\u00ader sole\u00adly with its cor\u00adpo\u00adra\u00adte assets due to the sta\u00adtu\u00adto\u00adry limi\u00adta\u00adti\u00adon of lia\u00adbi\u00adli\u00adty under Sec\u00adtion 13(2) of the GmbH Act (GmbHG). The GmbH Act does not pro\u00advi\u00adde for per\u00adso\u00adnal lia\u00adbi\u00adli\u00adty of mana\u00adging direc\u00adtors to third par\u00adties. While the legis\u00adla\u00adtor can expand this lia\u00adbi\u00adli\u00adty sys\u00adtem, for a mana\u00adging direc\u00adtor\u2019s lia\u00adbi\u00adli\u00adty under Sec\u00adtion 823(2) of the BGB to be estab\u00adlished, a pro\u00adtec\u00adti\u00adve norm must cle\u00adar\u00adly indi\u00adca\u00adte that, accor\u00adding to the legis\u00adla\u00adtor\u2019s intent, the com\u00adpany\u2019s direc\u00adtors should also be per\u00adso\u00adnal\u00adly lia\u00adble.<\/p>\n<p>Regar\u00adding the regu\u00adla\u00adto\u00adry offen\u00adse under the Mini\u00admum Wage Act (MiLoG), the BAG could not iden\u00adti\u00adfy such legis\u00adla\u00adti\u00adve intent.<\/p>\n<p><strong>Legal Assess\u00adment<\/strong><\/p>\n<p>This decis\u00adi\u00adon is to be agreed with. Other\u00adwi\u00adse, GmbH mana\u00adging direc\u00adtors could be held lia\u00adble for dama\u00adges in the amount of the sta\u00adtu\u00adto\u00adry mini\u00admum wage by the com\u00adpany\u2019s employees, even in cases of (mild) negli\u00adgence in ful\u00adfil\u00adling the regu\u00adla\u00adto\u00adry offen\u00adse. The fur\u00adther con\u00adse\u00adquence would be that, con\u00adcer\u00adning the pay\u00adment of the mini\u00admum wage, employees would have addi\u00adtio\u00adnal deb\u00adtors in addi\u00adti\u00adon to the GmbH as their con\u00adtrac\u00adtu\u00adal employ\u00ader.<\/p>\n<p>The ques\u00adti\u00adon of whe\u00adther the sol\u00adven\u00adcy of the employ\u00ader at the time of the mini\u00admum wage claim\u2019s due date is a pre\u00adre\u00adqui\u00adsi\u00adte for the appli\u00adca\u00adti\u00adon of Sec\u00adtion 21(1) No. 9 MiLoG remains unans\u00adwe\u00adred.
